Please read these Terms of Service (“Terms”) carefully before using the Hapnyn application and website (the “Service”) operated by Hapnyn, Inc. (“Hapnyn,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this age requirement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Accounts

Account Creation

To access certain features of the Service, you must create an account by providing your name and a verified contact method (email address or phone number). You agree to provide accurate and complete information and to keep it up to date.

Account Security

You are responsible for maintaining the security of your account. You agree to:

• Keep your contact methods current and accessible
• Not share your account or verification codes with others
• Notify us immediately if you suspect unauthorized access to your account

We are not liable for any loss or damage arising from unauthorized use of your account.

Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms. You may also delete your account at any time by contacting us at support@hapnyn.com.

3. Use of the Service

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable law or regulation
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any part of the Service, other accounts, or any systems or networks connected to the Service
• Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent
• Use the Service to transmit spam, unsolicited communications, or malicious content

Event Information

The Service displays event information that may be sourced from third parties or user contributions. While we strive for accuracy, we do not guarantee that event details (dates, times, locations, pricing, availability) are complete, current, or error-free. You should verify event information directly with the event organizer or venue before attending.

4. SMS/Text Messaging

When you choose to sign in using a phone number, you consent to receive one-time verification codes via SMS.

• Message frequency: One message per sign-in attempt.
• Message and data rates may apply depending on your mobile carrier and plan.
• Opt out: You can stop receiving SMS messages at any time by replying STOP to any message we send. After opting out, you will receive a one-time confirmation message and no further SMS messages will be sent. Note that opting out of SMS will prevent you from using phone-based sign-in; you may still sign in using an email address.
• Help: For assistance, reply HELP to any message or contact us at support@hapnyn.com.
• We do not send marketing, promotional, or recurring campaign messages via SMS. SMS is used solely for one-time identity verification.
• Supported carriers include, but are not limited to, AT&T, T-Mobile, and Verizon. Carrier support may vary.

5. Intellectual Property

Our Content

The Service and its original content (excluding user-provided information), features, and functionality are owned by Hapnyn, Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback in any way without obligation to you.

6. Third-Party Content and Links

The Service may contain links to third-party websites, services, or content (including event organizer websites, venue pages, and map services). We do not control, endorse, or assume responsibility for any third-party content. Your interactions with third-party services are governed by their own terms and policies.

7. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Event information displayed on the Service is complete, current, or correct

8. Limitation of Liability

To the maximum extent permitted by applicable law, Hapnyn, Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Hapnyn, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party

10. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction and venue of such courts.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date at the top of this page and, where appropriate, notify you through the Service.

Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you should stop using the Service.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hapnyn, Inc. regarding the Service and supersede any prior agreements.
